1.1 These terms apply when you use the DC Metric platform (the Platform), operated by DC Metric (Pty) Ltd, registration number 2026/818904/07 (DC Metric, we, us). They are between DC Metric and the organisation you belong to (your Organisation), and they apply to you as a user of that Organisation.
1.2 You may be given access to the Platform by a DC Metric partner that supplies it to your Organisation (a Partner). Your commercial arrangement, including price and payment, is with the Partner. These terms cover how you use the Platform.
1.3 By signing in, you accept these terms on behalf of yourself and, if you are the person who sets up your Organisation, on behalf of your Organisation, and you confirm you have the authority to do so. If your Organisation has signed a separate agreement directly with DC Metric, that agreement applies instead of these terms wherever the two differ.
1.4 Our Privacy Policy, on dcmetric.co.za, explains how we handle personal information. It is not part of these terms, but we ask you to read it.
2.1 You may use the Platform only if your Organisation has authorised you. Keep your sign-in details secret, do not share your account, and tell us or your administrator at once if you suspect someone else has used it.
2.2 Your Organisation’s administrators decide who has access and what role each person has. They are responsible for keeping that list accurate and removing people who leave.
3.1 The Platform lets you record monthly energy, water and carbon figures for your sites and halls, tracks indicators such as PUE, WUE, CUE and REF against your targets, and produces reports.
3.2 The Platform does not give legal, regulatory or compliance advice. It does not make your Organisation compliant with any law or standard. You are responsible for deciding what you report to any regulator, auditor or client, and for checking that figures are right before you do.
3.3 You are responsible for the accuracy of the data you or your connected systems enter. We provide the Platform as it is. We take reasonable care, but we do not promise that it will be free of errors or uninterrupted. We give notice of planned maintenance where we can.
4.1 You must not: use the Platform unlawfully; try to access another organisation’s data or any part of the Platform you are not allowed to use; copy, reverse engineer or scrape the Platform; use it to build a competing product; upload anything harmful, such as malware; overload it or interfere with its security; or enter data you have no right to enter.
4.2 If you connect a monitoring system through the API, you must keep your API keys secret and are responsible for the data they send.
5.1 The data your Organisation enters belongs to your Organisation. We use it only to run, support and secure the Platform and to meet our legal duties. We do not sell it. We may use combined figures that do not identify you or your Organisation to improve the Platform. Our platform provider, Base44, may use data stored on the Platform to train its own AI models, and we cannot currently opt out. See our Privacy Policy.
5.2 The Platform records corrections to figures, with who made them, when and why. Those records are part of your Organisation’s data.
5.3 If your Organisation uses a Partner, the Partner can see your Organisation’s data and users in order to set it up and support you. If your Organisation’s arrangement with its Partner ends, DC Metric may contact your Organisation about continuing to use the Platform directly, and may keep your Organisation’s sites running for a transition period.
5.4 When your Organisation stops using the Platform, it can export its data for 30 days, and we delete it within 90 days afterwards, unless the law requires us to keep it.
If your Organisation uses a Partner, the Platform may show the Partner’s name and logo, together with the words “Powered by DC Metric”. The Platform’s sign-in page and the emails it sends are in DC Metric’s name.
7.1 DC Metric owns the Platform, its code, designs, documentation, and the DC Metric name and logo. These terms give you only a non-exclusive, non-transferable right to use the Platform for your Organisation’s own internal business while it is entitled to use it.
7.2 Your Organisation keeps ownership of its data, name and logo. If you suggest an improvement to the Platform, we may use it freely without payment.
8.1 We may suspend or end access, for a user or an Organisation, if there is a serious security risk, if these terms are broken, if the law requires it, or if the Organisation’s fees are not paid by it or its Partner after notice. Suspending does not delete data. Access is restored when the reason is resolved.
8.2 You may stop using the Platform at any time. Your Organisation may end its use as its agreement allows.
9.1 To the extent the law allows, the Platform is provided as it is, and DC Metric is not liable for indirect or consequential loss, or for lost profit or lost business.
9.2 To the extent the law allows, DC Metric’s total liability to your Organisation for all claims connected with the Platform is limited to the fees paid or payable for the Platform in the 12 months before the claim arose.
9.3 Nothing in these terms limits liability that cannot be limited by law, including for gross negligence or wilful misconduct, or any rights you have under the Consumer Protection Act 68 of 2008, if it applies to you.
We may update these terms. The date at the top shows the latest version. If we make a significant change, we will tell your Organisation or you by email or in the Platform. If you keep using the Platform after the change, you accept it.
11.1 These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction, subject to any arbitration clause in a separate agreement.
11.2 If any part of these terms is found invalid, the rest continues. Not enforcing a right on one occasion does not give it up.
11.3 Notices to us go to info@dcmetric.co.za.
